PROCESS

1. Buyer fill in and submit Purchase Order form together with Company Profile, Incorporation Document showing the name of the appointed signatory, and BCL/RWA.

2. Inmost Investment Group (“IIG”) presents an Offset Agreement (NCNDA and IMFPA) to the Buyer; Buyer review, sign and return contract to IIG within 5 working days.

3. IIG provides Full Corporate Offer (FCO) and the Seller’s details for the Buyer to verify.

4. Upon accepting the terms of the transaction, IIG presents the Seller’s draft SPA open for amendment; Buyer and Seller review and sign mutually accepted contract and return to Seller within 5 working days.

5. Seller presents a Loading Schedule agreed by the appointed cargo shipping company at Novorossiysk Port.

6. The Buyer activates the financial instrument.

7. The Buyer's representative attends to the place of loading and, under his control, the railway wagons with the goods are shipped.

8. The logistics company delivers the cargo to the Novorossiysk Port and loads it onto the ship.

9. SGS inspection is performed on behalf of the Buyer.

10. After loading the vessel, the Seller provides the following documents to the Buyer:

    • Company Registration Certificate

    • Product Availability Statement

    • Certificate of Product Origin issued and endorsed by Government

    • Vessel Loading Report

    • Fresh SGS Report

    • Analysis Report

    • Material Safety Report

    • Non-Radiation Certificate

    • Authorization to Physically Verify (ATV)

11. Upon receipt of the POP documents, and the Bill of Lading, when the goods are fully loaded onto the vessel, the Buyer’s Letter of Credit (MT700) is opened, the Buyer makes 100 (One hundred) % payment for the shipped consignment of the Goods.

12. The Buyer pays the buy side intermediaries involved in the transaction within 24 hours after confirmation of the funds being cleared.

13. Subsequently monthly shipment continues as per terms and conditions of the sales and purchase agreement contract between Buyer and Seller.
